SIDELINES SWEEPSTAKES TERMS AND CONDITIONS (“TERMS”)

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCE OF WINNING. PLEASE READ THESE TERMS CAREFULLY, AS THEY FORM A BINDING CONTRACT AND INCLUDE A BINDING ARBITRATION, INDEMNITIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1. Promotion Period. The sweepstakes referencing these Terms (the “Sweepstakes”) will begin and end on the dates identified in the applicable social media post and/or newsletter (“Promotion Period”). 
2. Eligibility to Enter. Sweepstakes is only open to natural persons who are legal residents of the fifty (50) United States and District of Columbia (excluding Puerto Rico, all U.S. Territories and all overseas military installations) who are at least (21) years of age or older as of the date of entry. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. 
3. Sponsor. The sponsor of the Sweepstakes is Fantasy Advantage Ltd., ToHa, Totseret ha-Arets St 6-8, Tel Aviv, 6744129, Israel (“Sidelines”). Sidelines and its employees, representatives, officers, directors, shareholders and any entity involved in the administration, production or development of the Sweepstakes, including without limitation their immediate family members of such individuals, are not eligible to participate in the Sweepstakes. 
4. How to Enter. In order to enter the Sweepstakes, you must follow the instructions that are detailed in the social media post and/or newsletter referencing these Terms. Upon completion of all requirements, you will receive one (1) entry to the Sweepstakes (“Entry”). Receipt of Entries will not be acknowledged or returned by the Sponsor. By entering the Sweepstakes, you fully and unconditionally agree to be bound by these Terms.

Participation in the Sweepstakes is limited to one (1) Entry per person. No robotic or automated entry devices and/or programs permitted. The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook or Instagram. 

1. Winner Selection. Winners will be selected by Sidelines or a third-party administrator in a random drawing from all eligible Entries received by the end of the Sweepstakes. The number of winners is detailed in the social media post and/or newsletter that reference these Terms. Odds of winning depend on the number of eligible Entries received for the drawing. Any violation of these Terms by a winner will result in such winner’s disqualification and a new winner will be selected in a random draw.
2. Prizes. The prizes that will be awarded to the winner(s) are the prizes identified in the applicable social media post and/or newsletter. The prizes will be awarded only if the selected winner fully complies with these Terms. All portions of the prize are non-assignable and non-transferable. Prizes pictured in any advertising materials, social media posts, newsletters or otherwise are for illustrative purposes only. All details and other restrictions of the prize not specified in these Terms will be determined by Sidelines in its sole discretion. No cash alternative or substitution of the prize will be allowed, except Sidelines reserves the right in its sole discretion to substitute prize of comparable value if any prize listed is unavailable, in whole or in part, for any reason. All federal, state and local taxes are the sole responsibility of the winners. Each prize is awarded “as is” without any warranty or guarantee, either express or implied. LIMIT ONE PRIZE PER PERSON.
3. Winners Notification. Winners will be notified following the end of the Promotion Period through a direct message via the applicable social media channel or, at Sidelines discretion, via email. As a condition of receiving the prize, Winners will need to provide their mailing address and name. If any winner cannot be contacted within forty-eight (48) hours of first notification attempt, if any prize or prize notification is returned as undeliverable, if any winner rejects his/her prize, if any winner fails to provide his address and any reasonable identity verification documents, or in the event of noncompliance with these Sweepstakes rules and requirements, such prize will be forfeited and an alternate winner will be selected from all remaining eligible entries. 4. Limitation of Liability and Disclaimer of Warranties. By participating in the Sweepstakes, you agree to release and hold harmless Sidelines, Facebook, Instagram and their respective advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, “Released Entities”), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, which may occur in connection with, preparation for, travel to, or participation in Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery.

IN NO EVENT WILL THE RELEASED ENTITIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF YOUR ACCESS TO AND PARTICIPATION IN THE SWEEPSTAKES AND/OR THE PRIZE. IN NO EVENT SHALL THE RELEASED ENTITIES’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED $100. 

THIS SWEEPSTAKES AND ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. 

SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

1. Use of Data.  Sidelines will be collecting personal data about entrants online, in accordance with its privacy policy, as available at www.sidelines.io/privacy-policy. 
2. Disputes; Governing Law. THE PARTIES WAIVE ALL RIGHTS TO TRIAL IN ANY ACTION OR PROCEEDING INSTITUTED IN CONNECTION WITH THESE TERMS, INCLUDING, WITHOUT LIMITATION, THE SWEEPSTAKES. ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS AND/OR THE SWEEPSTAKES SHALL BE SETTLED BY BINDING ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. ANY SUCH CONTROVERSY OR CLAIM SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND SHALL NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR CONTROVERSY OF ANY OTHER PARTY. THE ARBITRATION SHALL BE CONDUCTED IN THE STATE OF NEW YORK, CITY OF NEW YORK.

THESE TERMS AND THEIR INTERPRETATION SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES. For any matters which are not subject to arbitration as set forth in these Terms and/or in connection with the entering of any judgment on an arbitration award in connection with these Terms and/or the Sweepstakes, the parties irrevocably submit and consent to the exclusive jurisdiction and venue of the state and federal courts located in or closest to the County of New York in the State of New York. The parties agree not to raise the defense of forum non conveniens.
